Affiliate Program Terms And Conditions

1. INTRODUCTION

Welcome to the Pets Avenue Affiliate Program. This agreement outlines the terms and conditions governing your participation. By enrolling, you agree to comply with these terms to ensure a fair and lawful partnership.

2. DEFINITIONS

  • “Affiliate”: An individual or entity approved to promote Pets Avenue products in exchange for commissions.
  • “Qualifying Sale”: A purchase made by a customer through the Affiliate’s unique tracking link that meets all program criteria.
  • “Commission”: The payment earned by an Affiliate for each Qualifying Sale.
  • “Program”: The Pets Avenue Affiliate Program as described in this agreement.
  • “We”, “Us”, “Company”: Pets Avenue, the operator of the affiliate program.

3. ELIGIBILITY & REGISTRATION

To participate in the program, you must:

  • Be at least 18 years old.
  • Own a valid website, blog, or social media platform that aligns with our brand values.
  • Provide accurate and complete registration information.
  • Not be an employee, agent, or contractor of Pets Avenue.

We reserve the right to accept or reject any application at our sole discretion.

4. COMMISSIONS

  • Rate: Affiliates earn a 7% commission on each Qualifying Sale.
  • Modifications: Commission rates are subject to change at any time. Affiliates will be notified of any changes via email or through the affiliate dashboard. Continued participation in the program after such changes constitutes acceptance of the new rates.
  • Cookie Duration: We utilise a 30-day cookie; sales made within this period after a customer clicks on an Affiliate’s link are attributed to the Affiliate.
  • Exclusions: Commissions are not earned on:
    • Cancelled or refunded orders.
    • Purchases made by the Affiliate themselves.
    • Sales resulting from prohibited promotional methods.

5. PAYMENT TERMS

  • Minimum Payout: Commissions are paid monthly, with a minimum payout threshold of NZD $50. Balances below this threshold will roll over to the next month.
  • Payment Methods: Affiliates may choose between bank transfer or PayPal for receiving commissions.
  • Tax Responsibility: Affiliates are responsible for reporting and paying any applicable taxes in their jurisdiction.

6. AFFILIATE RESPONSIBILITIES

Affiliates are expected to:

  • Honest Promotion: Ensure all promotional content is truthful and not misleading, in compliance with the Fair Trading Act 1986.
  • Disclosure Compliance: Clearly label promotional content as advertisements, following the Advertising Standards Authority (ASA) guidelines. This includes using identifiers such as “AD” or “Sponsored” in social media posts.
  • Privacy Protection: Handle any collected consumer data in accordance with the Privacy Act 2020.
  • Brand Integrity: Use only official Pets Avenue logos and marketing materials provided by us, without alteration.

7. PROHIBITED ACTIVITIES

Affiliates must NOT:

  • Engage in false advertising, misleading claims, or spam tactics.
  • Use unauthorised paid advertising methods, such as bidding on “Pets Avenue” trademarks in pay-per-click campaigns.
  • Promote on platforms containing illegal, pornographic, or offensive content.
  • Engage in fraudulent activities, including click fraud or incentivised clicks.
  • Alter, misrepresent, or misuse affiliate links.

8. TRACKING & REPORTING

  • Each Affiliate receives a unique tracking link to monitor referrals.
  • Sales are tracked through our system; any disputes regarding sales attribution must be raised within 30 days.
  • In the event of technical issues affecting tracking, Pets Avenue reserves the right to determine commission eligibility at its discretion.

9. TERM AND TERMINATION

  • Term: This agreement begins upon our acceptance of your affiliate application and continues until terminated by either party.
  • Termination: Either party may terminate this agreement at any time, with or without cause, by providing written notice. Upon termination:
    • Affiliates must cease using Pets Avenue intellectual property.
    • Pending commissions below the payout threshold are forfeited.

10. MODIFICATION

We may modify any of the terms and conditions in this agreement at our sole discretion. In such events, you will be notified by email or through the affiliate dashboard. Modifications may include changes in commission rates, payment procedures, and program rules. If any modification is unacceptable to you, your only option is to terminate this agreement. Your continued participation in the program following the posting of changes or new terms will indicate your agreement to the changes.

11. CONFIDENTIALITY

All confidential information, including but not limited to business, technical, financial, and customer information, disclosed by Pets Avenue to the Affiliate during the term of this agreement shall remain the sole property of Pets Avenue. Affiliates shall keep such information confidential and shall not disclose it to third parties or use it for any purpose other than the performance of their obligations under this agreement.

12. INDEMNIFICATION

Affiliates agree to indemnify and hold harmless Pets Avenue and its subsidiaries, affiliates, officers, directors, employees, agents, shareholders, partners, members, and other owners against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to the Affiliate’s site, including but not limited to content therein not attributable to Pets Avenue.

13. LIMITATION OF LIABILITY

We will not be liable to you with respect to any subject matter of this agreement under any contract, negligence, tort, strict liability, or other legal or equitable theory for any indirect, incidental, consequential, special, or exemplary damages (including, without limitation, loss of revenue or goodwill or anticipated profits or lost business), even if we have been advised of the possibility of such damages. Further, notwithstanding anything to the contrary contained in this agreement, in no event shall Pets Avenue’s cumulative liability to you arising out of or related to this agreement exceed the total commission fees paid to you under this agreement.

14. DISCLAIMERS

We make no express or implied representations or warranties regarding Pets Avenue service and website or the products or services provided therein. Any implied warranties of merchantability, fitness for a particular purpose, and non-infringement are expressly disclaimed and excluded. In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

15. MISCELLANEOUS

  • Governing Law: This agreement is governed by the laws of New Zealand, without regard to its conflict of laws principles.
  • Dispute Resolution: Any disputes arising out of or relating to this agreement shall be resolved exclusively in the courts of New Zealand.
  • Assignment: Affiliates may not assign their rights or obligations under this agreement without prior written consent from Pets Avenue.
  • Severability: If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Entire Agreement: This agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings.
